Terms of Service

1. Acceptance of Terms
By accessing or using the TribuShare platform (the "Service"), operated by SYLOE GROUP, SAS, a company registered in France (SIREN 898 633 409), you agree to be bound by these Master Terms of Service ("Terms") and all applicable supplementary modules. If you do not agree to these Terms, you may not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
2. Definitions — Central Glossary
The following capitalized terms apply across all TribuShare modules unless a module expressly provides a different definition for a specific context. Where a term is defined differently in a supplementary module, the module definition governs for that module only.
| "TribuShare" | The direct film distribution platform operated by SYLOE GROUP, SAS. |
| "SYLOE GROUP" | SYLOE GROUP, SAS, a company registered in France (SIREN 898 633 409), operating TribuShare. |
| "Service" | The TribuShare platform in its entirety, including the website, web and mobile applications, streaming infrastructure, APIs, analytics tools, referral systems, live event features, and all associated services. |
| "User" | Any individual or entity that accesses or uses the Service, regardless of account type. Users may be Viewers, Creators, Partners, or a combination thereof. |
| "Viewer" | A User who accesses the Service primarily to discover, purchase, and watch Content made available by Creators. |
| "Creator" | A User who has activated a Creator Account for the purpose of uploading, managing, and distributing audiovisual Content through the Service. Creators are subject to the Creator Agreement in addition to these Terms. |
| "Partner" | A User who participates in the TribuShare referral and affiliate program. Partners are subject to the Partner Program Agreement in addition to these Terms. |
| "Account" | A registered user account on TribuShare, associated with a verified email address and governed by these Terms. |
| "Content" | Any audiovisual works, films, short films, documentaries, series, trailers, supplementary materials, metadata, artwork, and associated materials made available on the Service by Creators. |
| "Platform IP" | All intellectual property owned by SYLOE GROUP, SAS, including the Service's source code, architecture, interfaces, algorithms, databases, design components, trademarks, and documentation. |
| "Creator Content" | Films, audiovisual works, metadata, artwork, and all associated materials uploaded to the Service by a Creator. Creator Content remains the exclusive property of the Creator, subject only to the technical license granted to TribuShare under the Creator Agreement. |
| "UGC" | User Generated Content: any content submitted by Users other than Creators in the course of using the Service, including reviews, comments, forum posts, and chat messages. UGC does not include Creator Content. |
| "Partner Link" | A unique, trackable referral link issued to a Partner for the purpose of directing new Users to the Service. |
| "Transaction" | Any paid purchase of access to Content, event tickets, merchandise, or other paid feature of the Service. |
| "DRM" | Digital Rights Management: technical measures applied to Content to restrict unauthorized copying, reproduction, or redistribution. |
| "Qualifying Territory" | Any geographic territory for which a Creator has activated Content availability through the Service's territory management tools. |
| "Effective Date" | The date on which a User first accepts these Terms by creating an Account or otherwise using the Service. |
3. Description of Service
3.1 Service for Viewers
TribuShare enables Viewers to discover, purchase access to, and watch independent films and audiovisual works distributed directly by their creators. The Service includes streaming playback with DRM content protection, live event participation, community features, and a referral rewards program (TribuShare Rewards).
3.2 Service for Creators
TribuShare provides independent filmmakers and audiovisual content producers with a direct-to-audience distribution platform, including tools for: secure video hosting and streaming; payment processing and revenue management; audience analytics and engagement tracking; territory and access management; referral program management; live event hosting (watch parties, Q&As); and community building. The Creator's use of these tools is governed by the Creator Agreement in addition to these Terms.
3.3 Service Availability
Content availability may vary by territory and is subject to the distribution rights configured by each Creator. TribuShare does not guarantee the availability of any specific Content in any specific territory. TribuShare reserves the right to modify, suspend, or discontinue features of the Service at any time, with notice where reasonably practicable.
4. User Accounts
4.1 Eligibility
You must be at least 18 years old to create an Account and use the Service. By registering, you represent and warrant that you meet this age requirement and that all information you provide during registration is accurate, complete, and current.
4.2 Account Types
TribuShare offers the following account types, each subject to the applicable module:
- Viewer Account — standard access for watching Content and participating in the community. Governed by these Terms only
- Creator Account — elevated access for distributing Content. Governed by these Terms and the Creator Agreement
- Partner Account — access to the referral and affiliate program. Governed by these Terms and the Partner Program Agreement. Requires an existing Viewer or Creator Account
A single User may hold multiple account types simultaneously, subject to acceptance of all applicable modules.
A single TribuShare Account may be used to access multiple Creator film sites. Each Creator's film site may have different content ratings, pricing, territorial availability, and refund conditions, as configured by the Creator. These Terms govern all Transactions across all Creator film sites — no separate acceptance is required per site. Each Creator film site displays its own legal information pages (legal notices, privacy information, refund policy) accessible via the site footer, for informational purposes.
4.3 Account Security
You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify TribuShare immediately at support@tribushare.com if you suspect unauthorized use of your Account. TribuShare shall not be liable for any loss or damage arising from your failure to maintain Account security.
4.4 Account Suspension and Termination
TribuShare reserves the right to suspend or terminate any Account where: (i) the User violates these Terms or any applicable module; (ii) TribuShare has reasonable grounds to suspect fraudulent or unlawful activity; (iii) continued operation of the Account would expose TribuShare or third parties to legal risk; or (iv) required by applicable law or court order. TribuShare will provide reasonable notice prior to termination where permitted by law, except in cases of fraud, illegal activity, or urgent security risk.
5. Payments and Refunds
5.1 Payment Processing
All Transactions on the Service are processed securely through Stripe, Inc. via Stripe Connect. TribuShare (SYLOE GROUP, SAS) acts as the merchant of record for all Transactions — it is the entity that appears on your payment statement and bears legal responsibility for the processing of your purchase. By making a purchase, you agree to Stripe's applicable terms of service. TribuShare accepts major credit cards and all other payment methods supported by Stripe in your territory.
The Creator whose Content you are purchasing is the legal seller of that Content. TribuShare acts as a technical intermediary and marketplace operator facilitating the transaction on the Creator's behalf. Revenue net of TribuShare's platform commission is transferred to the Creator's connected Stripe account.
TribuShare processes refunds on behalf of Creators via Stripe in accordance with the applicable refund policy. The financial cost of verified refunds is absorbed by the Creator pursuant to the Creator Agreement. Refund requests should be directed to support@tribushare.com or to the Creator's contact email displayed on the relevant film site. TribuShare acts as the primary point of contact for all refund requests and will notify the Creator of any request received. The Creator has 48 hours to respond; if no response is received, TribuShare is authorized to process the refund in accordance with applicable law and this Section 5.
5.1bis Tax Collection — TribuShare as Marketplace Facilitator
TribuShare operates as a marketplace facilitator for the purposes of applicable indirect tax laws. TribuShare calculates, collects, and remits applicable value-added tax (VAT), goods and services tax (GST), and sales tax on Transactions facilitated through the Service, in accordance with the laws of the viewer's territory.
Prices displayed by Creators on the Service are set excluding applicable taxes (HT — hors taxe). The applicable tax amount, if any, is calculated automatically at checkout based on the viewer's billing location and displayed separately prior to payment confirmation. The total amount charged to the viewer's payment method includes the Creator-set price plus any applicable taxes.
TribuShare registers for and remits collected taxes to the applicable tax authorities, including through the EU VAT One-Stop Shop (OSS) scheme for EU/EEA transactions. TribuShare's tax collection obligations as a marketplace facilitator do not affect the Creator's independent obligations with respect to income tax or other taxes on their Revenue Share receipts.
5.2 Digital Content Purchases — Commencement of Service
Sales of digital content (streaming access) are final once streaming has begun. Before initiating playback for the first time, you will be informed that commencing streaming will waive your right of withdrawal. By initiating playback, you expressly acknowledge that you have received delivery of the digital service purchased and you waive your right of withdrawal in respect of that Transaction to the extent permitted under applicable consumer protection law. Your right of withdrawal remains active until you initiate playback.
5.3 EU Consumer Cancellation Rights
If you are a resident of the European Union, European Economic Area, or the United Kingdom purchasing Content as a consumer (not in a professional capacity), you have a 14-day statutory right of withdrawal from the date of purchase, provided that you have not commenced streaming the Content and provided that you have not given express prior consent to immediate delivery with acknowledgment of the loss of withdrawal rights as described in Section 5.2. Once streaming has commenced, the right of withdrawal is waived as set out in Section 5.2 above. To exercise your right of withdrawal before streaming, contact support@tribushare.com or the Creator directly via the film site's contact email, with your order details and the statement: "I hereby withdraw from my contract for the purchase of the following digital content." TribuShare may process the refund on the Creator's behalf via Stripe.
Where you validly exercise your right of withdrawal, TribuShare will process the refund within 14 days of receiving your withdrawal notification, using the same payment method as the original Transaction, unless you expressly agree otherwise. TribuShare may process the refund on the Creator's behalf via Stripe.
5.4 Non-EU Refund Policy
For Users located outside the EU/EEA, refunds may be requested within 48 hours of purchase for Content that has not been viewed. Once streaming has commenced, the Transaction is final and no refund will be issued. To request a refund, contact support@tribushare.com or the Creator directly via the contact email displayed on the film site, within the applicable window with your order reference. TribuShare may process refunds on the Creator's behalf via Stripe.
5.5 Live Events
Tickets purchased for live events (watch parties, Q&A sessions, or other scheduled live experiences) are non-refundable except in the event of cancellation of the event by TribuShare. If TribuShare cancels a live event, affected ticket holders will receive a full refund within 14 days of the cancellation notice. Live events may be recorded and made available for subsequent on-demand viewing; unauthorized recording, redistribution, or public performance of live event content by attendees is strictly prohibited.
5.6 Pricing and Currency
Prices displayed on the Service are shown in the currency applicable to your territory. TribuShare reserves the right to modify pricing at any time for new purchases. For Users on active recurring subscriptions, pricing changes take effect at the next subscription renewal date, with at least 30 days' prior notice. TribuShare is not responsible for currency conversion costs or fees charged by your payment provider.
Prices set by Creators on the Service are exclusive of applicable taxes. The price displayed to you at checkout includes any applicable VAT, sales tax, or other indirect tax calculated for your billing location. For viewers in the EU/EEA, prices are displayed tax-inclusive (TTC) in accordance with applicable consumer protection law. For viewers in other territories, prices may be displayed excluding taxes, with applicable taxes added at checkout.
6. User Conduct
6.1 General Obligations
All Users agree to use the Service in a lawful, respectful, and good-faith manner. You agree not to:
- Provide false, misleading, or fraudulent information during registration or any interaction with the Service
- Use bots, scrapers, crawlers, automated scripts, or any other automated tools to access, extract data from, or interact with the Service
- Impersonate any person, entity, or TribuShare staff
- Infringe upon the intellectual property rights, privacy rights, or personality rights of any third party
- Harass, abuse, threaten, defame, or intimidate other Users, Creators, or TribuShare staff
- Attempt to circumvent, disable, or interfere with any DRM, content protection, watermarking, access control, or security measure of the Service
- Redistribute, copy, publicly display, broadcast, or create derivative works from any Content without the prior written authorization of the rights holder
- Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation
- Transmit any malware, viruses, or other harmful code through the Service
- Interfere with or disrupt the integrity, performance, or availability of the Service or its underlying infrastructure
6.2 Consequences of Violation
Violation of Section 6.1 may result in immediate Account suspension or termination, removal of offending content, forfeiture of any accrued credits or rewards, and referral to the competent authorities where criminal conduct is suspected. TribuShare reserves the right to pursue all available legal remedies for damages caused by violations.
7. User Generated Content (UGC)
7.1 Scope
This Section 7 applies to UGC submitted by Users in the course of using community features of the Service (reviews, comments, forum posts, live event chat messages, and similar). It does not apply to Creator Content, which is exclusively governed by the Creator Agreement.
7.2 License Granted to TribuShare for UGC
By submitting UGC to the Service, you grant SYLOE GROUP, SAS a non-exclusive, worldwide, royalty-free license to use, display, reproduce, adapt, and distribute your UGC solely in connection with the operation and promotion of the Service, for the duration of your Account. This license may be sub-licensed only to TribuShare's service providers acting solely on TribuShare's behalf for technical purposes (hosting, CDN, moderation tools). This license does not transfer ownership of your UGC. You retain all ownership rights in your UGC.
7.3 UGC Warranties
By submitting UGC, you represent and warrant that: (i) you own or have the necessary rights to submit the UGC; (ii) the UGC does not infringe any third-party rights; (iii) the UGC does not violate Section 6.1 or any applicable law; and (iv) the UGC does not contain personal data of third parties without their consent.
7.4 UGC Moderation
TribuShare reserves the right to review, moderate, edit, or remove any UGC at any time and without prior notice, where TribuShare reasonably determines that the UGC violates these Terms, applicable law, or the rights of third parties. TribuShare is not obligated to monitor all UGC but will act promptly upon receiving a valid complaint.
8. Intellectual Property
8.1 Platform IP — Ownership by SYLOE GROUP
The Service and all its components — including source code, software architecture, algorithms, databases, interfaces, design elements, trademarks, the TribuShare brand, logos, and all associated documentation — constitute Platform IP and are the exclusive intellectual property of SYLOE GROUP, SAS, protected under French law (Code de la Propriété Intellectuelle) and applicable international intellectual property treaties. No User acquires any ownership rights in Platform IP through use of the Service.
8.2 Creator Content — Ownership by Creators
All Creator Content available on the Service remains the exclusive intellectual property of the respective Creator or their authorized rights holders. TribuShare does not acquire ownership of Creator Content. TribuShare's rights in Creator Content are strictly limited to the technical license described in the Creator Agreement, Section 7.2. TribuShare is not responsible for and expressly disclaims any liability arising from Creator Content, including any allegation that Creator Content infringes third-party rights.
8.3 Viewer License
Subject to your compliance with these Terms and payment of all applicable fees, TribuShare grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and view Content on the Service for your personal, non-commercial use only, during the access period applicable to your purchase. This license expressly excludes the right to: download Content (except where a Creator has explicitly enabled download); copy, reproduce, or duplicate Content in any medium; publicly screen, broadcast, perform, or transmit Content; modify, adapt, translate, or create derivative works; or use Content for any commercial purpose whatsoever.
8.4 Watermarking Notice
TribuShare applies invisible digital watermarking to all Content streamed through the Service. Each viewing session is assigned a unique fingerprint enabling identification of the Account that accessed the Content. This is a technical security measure only and does not constitute a modification of any creative work.
9. Data Protection
9.1 Privacy Policy
TribuShare's collection, use, and protection of personal data is governed by the TribuShare Privacy Policy and Data Processing Addendum, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
Where TribuShare generates a film distribution site on behalf of a Creator, TribuShare and the Creator may act as joint controllers (GDPR Art. 26) with respect to Viewer personal data collected through that site. In particular, where a Viewer opts in to a Creator's marketing communications at account creation, the email address collected by TribuShare is transferred to the Creator's email platform, at which point the Creator becomes an independent data controller for that data. Each Creator film site displays its own Privacy Policy describing this arrangement.
9.2 GDPR Rights
If you are located in the European Union or European Economic Area, you benefit from all rights afforded to data subjects under the General Data Protection Regulation (GDPR), including the rights to: access your personal data; rectify inaccurate data; request erasure of your data ("right to be forgotten"); restrict or object to certain processing; and request portability of your data in a machine-readable format. To exercise any of these rights, contact: privacy@tribushare.com.
9.3 Cookies
TribuShare uses cookies and similar tracking technologies as described in the Privacy Policy. You may manage your cookie preferences through the consent management interface available on the Service. Strictly necessary cookies cannot be disabled as they are required for the Service to function.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
TribuShare does not warrant that: (i) the Service will be uninterrupted, timely, secure, or error-free at all times; (ii) any Content is accurate, complete, or appropriate for your purposes; (iii) the Service will meet your specific requirements; or (iv) defects in the Service will be corrected.
The Service relies on third-party infrastructure providers (including CDN, DRM, and payment processors). TribuShare is not responsible for service degradation caused by such third-party providers, provided TribuShare makes commercially reasonable efforts to maintain service quality.
11. Limitation of Liability
11.1 Exclusion of Indirect Damages
To the maximum extent permitted by applicable law, SYLOE GROUP, SAS shall not be liable to any User for any indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Service, including but not limited to: loss of data, loss of revenue or profits, loss of access to Content, business interruption, or reputational damage — even if TribuShare has been advised of the possibility of such damages.
11.2 Aggregate Liability Cap
TribuShare's maximum aggregate liability to any User for all claims arising under or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the greater of: (a) the total amount paid by the User to TribuShare in the twelve (12) months preceding the event giving rise to the claim; or (b) EUR 500 — for Users with an active paid subscription or Creator Account at the time of the claim.
11.3 Mandatory Consumer Protections
Nothing in this Section 11 excludes or limits TribuShare's liability for: (i) death or personal injury caused by TribuShare's negligence; (ii) fraud or fraudulent misrepresentation; (iii) any liability that cannot be excluded or limited under applicable mandatory consumer protection law in your country of residence. EU consumers retain all rights granted by mandatory provisions of the law of their country of residence.
12. Dispute Resolution
12.1 Informal Resolution — First Step for All Users
Before initiating any formal legal proceedings, all Users agree to attempt to resolve disputes informally by contacting TribuShare at legal@tribushare.com with a written description of the dispute, the relief sought, and your contact information. TribuShare will endeavor to respond within 15 business days. This informal resolution step is required for all Users as a precondition to formal proceedings, and shall last no less than 30 days unless both parties agree otherwise in writing.
12.2 EU Users — Consumer Dispute Resolution
If you are a consumer resident in the European Union and informal resolution fails, you may bring a claim: (i) before the courts of your country of residence, as entitled under EU consumer protection law; or (ii) before the Tribunal de Commerce de Paris, France, at TribuShare's option for claims brought by TribuShare against EU Users. For information on consumer dispute resolution mechanisms available in your EU Member State, visit the European Commission's consumer redress portal at consumer-redress.ec.europa.eu. A list of certified dispute resolution bodies in each Member State is available at consumer-redress.ec.europa.eu/dispute-resolution-bodies.
Consumer Mediation (France): In accordance with Article L612-1 of the French Consumer Code, SYLOE GROUP, SAS is required to designate a consumer mediator. The designated consumer mediator will be communicated on this page upon appointment. In the meantime, consumers may contact legal@tribushare.com.
12.3 Business and Creator Users — Mediation and Paris Commercial Court
For Users acting in a professional capacity (including all Creator Account holders and Partner Account holders), disputes that remain unresolved after the informal resolution period in Section 12.1 shall be submitted to mediation administered by the Paris Centre for Mediation and Arbitration (CMAP) in accordance with its applicable rules. If mediation fails within 60 days of appointment of the mediator, the dispute shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris (Commercial Court of Paris), France. This clause is consistent with the mandatory mediation requirement for commercial disputes under Article 750-1 of the French Code of Civil Procedure.
12.4 U.S. Users
For U.S. residents using the Service as consumers (Viewer Accounts only): disputes may be brought in the state or federal courts of competent jurisdiction in your state of residence. TribuShare does not require binding mandatory arbitration from U.S. consumers.
For U.S.-based businesses or professionals using the Service (Creator or Partner Accounts): disputes shall be resolved through binding arbitration under the ICC Rules of Arbitration in Paris, France, conducted in English before a sole arbitrator. Nothing in this clause prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
12.5 Class Action Waiver
To the extent permitted by applicable law, all Users waive the right to participate in class action proceedings or class-wide arbitration. Each claim must be brought individually. This waiver does not apply to EU consumers, who retain all rights to collective redress mechanisms available under applicable EU law.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.
EU consumers will also benefit from any mandatory consumer protection provisions of the law of their country of residence, to the extent such provisions cannot be derogated from by contractual agreement.
14. Changes to These Terms
TribuShare may update these Terms from time to time to reflect changes in the law, the Service, or our business practices. TribuShare will notify Users of material changes by: (i) sending an email notification to the address associated with your Account; and (ii) displaying a prominent notice on the Service. The notice will be provided at least 30 days before the amended Terms take effect.
Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not accept the amended Terms, you must cease using the Service and may close your Account before the effective date.
15. Termination
15.1 Termination by User
You may close your Account and terminate these Terms at any time by contacting support@tribushare.com or using the Account closure function in your Account settings. Termination does not entitle you to any refund of amounts already paid, except as expressly provided in Section 5.
15.2 Termination by TribuShare
TribuShare may suspend or terminate your Account pursuant to Section 4.4 of these Terms. Upon termination for cause (fraud, illegal activity, serious breach of these Terms), TribuShare reserves the right to withhold any outstanding credits, rewards, or accrued amounts pending investigation and resolution of any claims. Withheld amounts shall be released or forfeited within 90 days of Account suspension, or upon resolution of all claims, whichever is earlier.
15.3 Effect of Termination
Upon termination of your Account for any reason: (i) your license to access and use the Service terminates immediately; (ii) Content you have purchased access to during a valid access period remains accessible until the end of that period, unless your Account was terminated for cause; (iii) your UGC may be retained on the Service per TribuShare's data retention policy described in the Privacy Policy. Creator-specific obligations on termination are governed by the Creator Agreement, Section 14.
16. General Provisions
16.1 Entire Agreement and Document Hierarchy
These Terms, together with all applicable supplementary modules accepted by the User (the Creator Agreement, the Partner Program Agreement, the Privacy Policy, and Schedule A), constitute the entire agreement between TribuShare and the User with respect to the subject matter hereof and supersede all prior agreements, representations, or understandings.
In the event of any conflict between documents, the following order of precedence applies: (1) any applicable project-specific SOW or written addendum; (2) the Creator Agreement (for Creator Accounts); (3) the Partner Program Agreement (for Partner Accounts); (4) these Terms; (5) Schedule A. Mandatory provisions of applicable law prevail over all contractual documents.
16.2 Severability
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.
16.3 Waiver
TribuShare's failure to enforce any provision of these Terms on any occasion does not constitute a waiver of TribuShare's right to enforce that provision on any future occasion.
16.4 Assignment
You may not assign or transfer your Account or rights under these Terms without TribuShare's prior written consent. TribuShare may assign these Terms to an affiliate or successor entity in connection with a corporate restructuring, merger, or sale of substantially all assets, without requiring your consent.
16.5 Force Majeure
TribuShare shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, governmental actions, pandemics, cyberattacks, or failures of third-party network infrastructure. TribuShare will notify affected Users promptly and resume performance as soon as reasonably practicable.
16.6 Language
These Terms are drafted in English. Where translations are provided for convenience, the English version shall prevail in the event of any inconsistency.

17. Acceptance
17.1 Digital Acceptance — Web (All Standard Users)
BY CREATING AN ACCOUNT OR OTHERWISE USING THE TRIBUSHARE SERVICE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE MASTER TERMS OF SERVICE IN THEIR ENTIRETY.
Users activating a Creator Account additionally confirm acceptance of the Creator Agreement.

17.2 Manual Signature — Enterprise and Custom SOW Clients
For clients entering into a custom Statement of Work (SOW) or Enterprise Agreement, these Terms may additionally be executed by manual or electronic signature (DocuSign, Yousign, or equivalent). Both methods have equal legal effect. A signed version prevails over a digitally accepted version in the event of conflict.
