Participant Payout Terms

1. Who you are dealing with
The Organization is the party that uploads the film, warrants that it holds the rights to distribute it on TribuShare, sets the percentage allocated to you and can change it for future sales. TribuShare is the merchant of record of sales to viewers and acts as the Organization's payment agent for your share: it executes the Organization's payment instruction out of the Organization's own share of each sale. In accordance with Article 1340 of the French Civil Code, this designation does not make TribuShare your debtor and does not transfer the Organization's obligations to TribuShare. The Organization remains solely liable to you for any amount owed under your agreement with it.
TribuShare does not know, verify or interpret your agreement with the Organization. It does not adjudicate disputes about the percentage allocated to you, the films it covers or the amounts due. Contact the Organization directly for any question about those commercial terms.
2. Eligibility
- External film participants must be companies or other legal entities. TribuShare does not currently pay individuals as participants. If the payout account you set up with Stripe is an individual account, film participation payouts are placed on hold until the Organization designates an eligible entity.
- You must sign in with the verified email address that received the invitation and accept these Terms.
- You must complete payout onboarding with Stripe, TribuShare's payment provider, in a country supported by TribuShare. Stripe collects your identity, tax and bank details under its own terms. TribuShare never receives your bank credentials.
3. What you receive
Your share is a percentage, set by the Organization, of a film's net pool on each sale: the amount paid by the viewer excluding taxes, minus payment processing fees, TribuShare's platform fee and any partner commission or viewer reward attached to that sale. When a film is sold inside a bundle, the Organization also sets the weight of each film in the bundle. The allocation rules in force when the viewer paid apply to that sale for good; later changes by the Organization only affect future sales.

| Payout | Once a month, TribuShare transfers your payable balance to your Stripe payout account when it reaches the equivalent of USD 1 in that currency. Smaller balances roll over and never expire. TribuShare bears the Stripe transfer fee, so you receive your full payable balance. Stripe then pays your bank account under its own schedule and under its own fees. |
| Adjustments | Refunds, chargebacks and reversals on a sale reduce your balance in the same proportion as your share of that sale. A negative balance is carried forward and offset against future film participation earnings. |
| Statements | A monthly statement per currency is available in your earnings account, showing opening balance, earnings, adjustments, payouts and closing balance, with the gross sale, taxes, fees and film allocation behind each entry. |
Amounts are computed and paid in the currency of the sale. TribuShare does not pay interest on balances, does not advance sums it has not collected, and only pays out of amounts actually received from viewers and available on the Organization's share.
4. Holds and suspension
TribuShare may hold your film participation payouts, while keeping your earnings recorded, when: your payout account is incomplete, restricted or set up as an individual; a tax document TribuShare has asked for is missing; a credible rights claim or legal request concerns a film you are a participant of; the Organization's account is suspended; or TribuShare is required to do so by law or by its payment provider. Holds are lifted when the cause is resolved. If a rights dispute about a film is not resolved between the parties, TribuShare releases the held amounts on their joint written instruction or on a final decision.
Film participation earnings and Partner Commissions are recorded in the same earnings account. Film earnings require acceptance of these Terms and satisfaction of the entity requirement. Partner Commissions require acceptance of the Partner Program Terms and are evaluated separately: a film-only restriction does not by itself block eligible Partner Commissions. Eligible portions in the same currency may be combined in one monthly transfer; the threshold applies to their combined eligible amount. Refunds and negative balances for film participation are recovered only from future film participation earnings, and Partner Commission debts are recovered only from future Partner Commissions. Account-wide payment, identity or legal restrictions may still prevent all payouts. Earlier payouts whose source cannot be established are held for reconciliation without forfeiting earnings.
5. Taxes
You are responsible for declaring and paying the taxes and social contributions applicable to the amounts you receive. Where the law requires TribuShare to withhold an amount on a payment to you, in particular for entities tax resident outside France, TribuShare may ask you for a tax residence certificate beforehand and will issue the corresponding statements. TribuShare's payments to you are not a distribution of authors' rights by a collecting society and do not replace any sums due to you by the Organization or by any collective management organization. Earnings statements are not tax invoices and do not replace any invoice required under your agreement with the Organization.
6. Your data and confidentiality
You only see your own percentage, your own earnings and the identity of the Organization that designated you. You do not see other participants, their shares or any viewer personal data. TribuShare processes your identity and contact details as described in the Privacy Policy; Stripe processes your identity, tax and bank details as an independent controller under its own privacy policy.
7. Changes and termination
The Organization may change your percentage or remove you as a participant for future sales at any time; sales already recorded keep their original allocation. TribuShare may update these Terms with at least 30 days' notice by email; the version you accepted is recorded with your account and archived versions remain available on request. If your designation ends or your account is closed, your remaining payable balance keeps being transferred under the same rules once your payout account allows it. Any payable balance that has stayed below the threshold and remaining payable for at least 90 days may be transferred below the threshold, subject to payout eligibility.
8. Liability and law
TribuShare's only obligation towards you under these Terms is to execute the Organization's payment instruction correctly, out of the amounts it has actually collected. It is not a party to your agreement with the Organization, does not guarantee any level of sales and is not liable for the Organization's commitments. These Terms are governed by French law. Any dispute that cannot be resolved amicably falls within the jurisdiction of the courts of Paris, France, subject to mandatory rules applicable to you.
